Musk seeks Tesla investors' vote to move corporate registration to Texas

14:48 01.02.2024

Tesla CEO Elon Musk has announced that the company will seek a shareholder vote on whether to move its corporate listing to Texas, following a recent court ruling. Musk took to his social media platform, formerly known as Twitter, to share the news, stating, "Tesla will move immediately to hold a shareholder vote to transfer state of incorporation to Texas." This decision comes after Musk had previously polled users on the same question, with an overwhelming 87.1% of 1.1 million respondents voting in favor of the move.

The relocation of Tesla's headquarters from California to Austin, Texas in 2021 was already a significant step for the electric car company. However, this latest move to potentially change the corporate registration to Texas further solidifies the company's commitment to the state. Musk's announcement follows a recent ruling by a Delaware court, where Tesla is currently registered, which denied him a multibillion-dollar pay package.

The court's decision, handed down on Tuesday, stated that Musk is not entitled to a compensation package that could have been worth more than $55 billion. This package had been awarded by Tesla's board of directors, but shareholders had filed a lawsuit, accusing Musk and the directors of breaching their duties. They argued that the pay plan was the result of sham negotiations with directors who were not independent of Musk.

In response to the ruling, Musk expressed his displeasure on social media, advising against incorporating companies in Delaware and suggesting Nevada or Texas as preferable options for shareholder decision-making. The defense, however, argued that the compensation plan had been fairly negotiated by an independent compensation committee, which had set ambitious performance milestones.

With the court ruling against Musk's pay package and his subsequent call for a shareholder vote on moving the corporate listing to Texas, it is clear that he is determined to give shareholders a greater say in the company's affairs. This move aligns with Musk's previous practice of seeking public opinion on important decisions through his social media platform.

Tesla's potential relocation to Texas, if approved by shareholders, could have significant implications for the company and the state. Texas has been attracting a growing number of businesses and investors due to its business-friendly environment and lack of state income tax. The move could also bring further economic benefits to the state, including job creation and increased investment.

As Tesla continues to dominate the electric vehicle market and expand its operations, the outcome of the shareholder vote will undoubtedly be closely watched by investors, industry analysts, and stakeholders. The decision to potentially change Tesla's corporate registration to Texas demonstrates Musk's determination to prioritize shareholder input and further solidify the company's presence in the Lone Star State.
